Buy outright · Phone + Service
Contract RPT-FPS-OUT · fp-2026-10-16.web-2
Repeater sells phones to you outright, with Service on each phone.
1. About this contract
This contract is between Aphileon Pty Ltd trading as Repeater, ABN 50 702 477 361 (“we”, “us”), and the customer named in the Order schedule (“you”).
It covers the phones listed in the Order schedule, and the Service on them. It stands on its own: no master agreement applies.
Prices are in Australian dollars and exclude GST. GST of 10% is added to each charge that is a taxable supply, worked out once on that charge’s total.
You enter this contract for the purposes of your business.
If no start date is entered in the Order schedule, the start date is the date we sign this contract.
2. The phones
| Model | Buy outright, per phone | Inc GST |
|---|---|---|
| Redmi Note 13 Pro 5G | $370.00 | $407.00 |
| iPhone 12 | $421.00 | $463.10 |
| iPhone 16e | $843.00 | $927.30 |
Phones are new or refurbished, as we choose. We tell you in writing before a phone is delivered whether it is refurbished.
You pay the full price of every phone on signing. Each phone is at your risk from delivery, and stays ours until every amount for it has been paid and the period for reversing those payments has ended, at least 30 business days after the last payment. Until then, you must not sell it, hire it out or part with control of it. It then becomes yours.
We deliver phones, and start the Service, only after everything due on signing has cleared. If it has not cleared within 10 business days after signing, we may end this contract by written notice.
Whether a phone comes with a SIM tray is our decision, except as follows. If the Order schedule records a number of phones to have SIM slots only and an extra cost per phone, we supply that number of phones with a physical SIM tray, and the extra cost is paid on signing. If either entry is empty, that section of the Order schedule does not apply.
3. Monthly fees
| Per phone, each month | Ex GST | Inc GST | Prepaid for the plan term (5% off) |
|---|---|---|---|
| Service | $20.50 | $22.55 |
The plan term is the number of months written in the Order schedule, 24 months if it is blank. The fee term is the plan term of monthly fees, running from the start date. A fee month runs from a billing day to the day before the next one; the billing day is the SIM billing day where there is one, otherwise the monthly anniversary of the start date. After the fee term, monthly fees continue month to month until either of us gives 30 days’ written notice, and we may change them by at least 30 days’ written notice. We may agree a new plan term with you in writing at any time.
Paying monthly: the first month is paid on signing, and each later month is paid in advance at the start of that month.
Prepaying: the whole plan term paid on signing, at 5% off. The 5% applies to monthly fees only, never to phones.
4. Service
A technician visit each month at the visit address in the Order schedule, on the visit day in the Order schedule or another day we set by notice to you: inspection, battery and storage check, cleaning, and replacement of screen protectors and cases damaged beyond normal wear and tear, with our standard gear.
Have the phones together at the visit address for each visit. A visit missed because the phones were not available is not made up, and the month’s fees still apply. That visit is charged as a call-out, $125, on the next debit.
Repair credit each month of $20.50 for each phone on Service that month (for example, 5 phones = $102.50). It is used at our standard rates, expires at the end of the month, does not roll over and has no cash value.
Repairs over the credit are quoted first, and paid when you approve the quote, before work starts.
Call-outs: each month, 1 call-out plus 1 more for every 5 phones (rounded down) can be booked at $125 each, paid when you book it. More call-outs than that are quoted, and also paid when booked.
| Phones on the contract | Repair credit a month | Call-outs available a month |
|---|---|---|
| 1 | $20.50 | 1 |
| 5 | $102.50 | 2 |
| 10 | $205.00 | 3 |
| 20 | $410.00 | 5 |
| 50 | $1,025.00 | 11 |
5. Lost, stolen or broken phones
A phone becomes yours as clause 2 says. Repairs we do are quoted, and paid before work starts (the month’s repair credit can go towards them).
A lost or stolen phone on Service: its monthly fee moves to the replacement phone. If the phone is not replaced, its monthly fee continues unless it is stopped early under clause 7.
A replacement phone is supplied on a separate contract we issue at the time, at that phone’s outright price, paid on signing. Its Service stays under this contract.
6. Personal property securities
To the extent this contract creates or provides for a security interest under the Personal Property Securities Act 2009 (Cth), that security interest secures every amount you owe and everything you must do under this contract. We register it on the Personal Property Securities Register before we deliver any phone, and within 20 business days after signing, against you as named in the Order schedule, and you must give us any information and sign any document we need to register or protect it.
You must not allow any other security interest over a phone that is still ours.
To the extent the law allows, sections 95 and 130 (so far as they require notice to you), 96, 117, 118 (so far as it allows notice to you), 120, 121(4), 125, 126, 128, 129, 132(3)(d), 132(4), 134(1), 135, 142 and 143 of that Act do not apply, and you waive your right to receive notice of any verification statement.
7. Stopping the monthly fees early
To stop monthly fees paid monthly before the end of the fee term, for some or all of the phones, give 30 days’ written notice. When you give notice, pay 25% of those phones’ monthly fees for the whole months of the fee term left after the month in which the notice period ends. Fees up to the end of that month are paid as normal.
Prepaid monthly fees cannot be stopped early.
Example: 5 phones on Service ($102.50 a month), leaving when the notice period ends at the end of month 13. The early-exit fee is 25% × 11 months × $102.50 = $281.88 ex GST ($310.07 inc GST).
8. What you pay, and when
| Charge | When it is paid |
|---|---|
| The phones | In full on signing |
| SIM slots only, extra cost per phone | On signing, where the Order schedule records it |
| Monthly fees | First month on signing, then each month in advance. Or the whole fee term on signing, 5% off |
| Call-outs, $125 each | When booked |
| Call-outs beyond the monthly allowance | Quoted, and paid when booked |
| Repairs over the repair credit | When you approve the quote, before work starts |
| Early-exit fee, 25% of fees left | When you give notice |
| Other work | Quoted, and paid before it starts |
| Failed-payment fee, $15 | Each time a debit or card charge fails |
| Interest, 10% a year | On overdue amounts, daily, paid when we ask |
| Recovery costs | When we ask for them |
| No-poaching amount, $15,000 | When the person is employed or engaged |
Monthly fees paid monthly, and every other amount, are paid by card or by direct debit, as set when you accept this contract.
9. Worked example
| 5 × iPhone 12, buy outright (5 × $421.00) | $2,105.00 |
| First month, 5 × $20.50 | $102.50 |
| Paid on signing, ex GST | $2,207.50 |
| Paid on signing, inc GST | $2,428.25 |
| Then each month in advance, months 2 to 24 (default plan term) | $102.50 ($112.75 inc GST) |
| Or prepay all 24 months at 5% off (default plan term): paid on signing instead | $5,187.00 ($5,705.70 inc GST) |
| Each month includes | $102.50 repair credit, and 2 call-outs available at $125 each, paid when booked |
This example is for illustration only, and the clauses above govern. The example uses the default 24-month plan term; the plan term row in the Order schedule and the Amounts table govern the actual amounts.
10. If a payment fails
A failed-payment fee of $15 applies each time a debit or card charge fails.
Overdue amounts accrue interest at 10% a year, calculated daily from the due date until they are paid.
You pay our reasonable costs of recovering any overdue amount, including collection and legal costs and any dishonour or chargeback fees charged to us.
If any amount is still overdue 2 business days after we notify you, we may suspend the Service, to the extent the law allows. Fees do not run while the service is suspended. We lift the suspension once the amounts for which it was imposed are paid.
If any amount is still unpaid 10 business days after its due date, or an amount becomes unpaid again after a payment for it is reversed (including a chargeback), or amounts have been left unpaid 10 business days after their due dates in 3 different months within any 6-month period, we may end the Service by written notice. When we give the notice, you pay everything owed for the period up to that date, and these termination amounts: the monthly fees then payable for the 30 days after that date (a part of a month counts as the same part of the monthly fee) that you have not already paid, and 25% of the monthly fees for the whole months of the fee term left after those 30 days that you have not already paid. After the fee term, only the monthly fees for those 30 days apply.
11. Suspension
We may suspend the Service, to the extent the law allows, if anyone in your business abuses or threatens our staff. Fees do not run while the service is suspended.
If a ground in this clause continues 5 business days after we notify you, or happens again, we may end the Service by written notice, and the amounts in clause 10 for our ending it apply.
12. Events outside our control
We are not liable for any delay or failure caused by events outside our reasonable control, including failures or delays of carriers, networks, platforms, suppliers or deliveries. Our duty to supply is suspended to that extent, and the fees keep being payable. If an event stops a part of the service for more than 30 days, either of us may end that part, and the fees for that part stop after those 30 days.
If such an event stops us supplying the Service for more than 30 days, we may end it by written notice.
13. Our liability
To the extent the law allows, if the Service fails, our liability for it is limited, as the law allows, to supplying it again or paying the cost of having it supplied again.
To the extent the law allows, our total liability under or in connection with this contract is limited to the total amount you have paid us under it for the phones or Service the claim relates to.
To the extent the law allows, we are not liable for any indirect or consequential loss, or for any loss of profit, revenue, use or goodwill.
To the extent the law allows, we are not liable for loss of data.
14. Your responsibility for the phones
You are responsible for all use of the phones. You indemnify us against any loss, claim or cost arising from that use or from your breach of this contract, except to the extent we caused it. This indemnity applies to the extent the law allows.
15. General
Notices must be in writing and may be sent by email. Notices to you go to your email for notices in the Order schedule, and notices to us go to our email for notices in the Order schedule. An email is received when it is sent, unless the sender receives a message that it was not delivered. A notice received outside business hours is treated as received at the start of the next business day.
You must tell us in writing before you change your email address for notices.
Any change to the printed text of this contract must be initialled by both of us. A change that is not initialled by both has no effect.
This contract, its Order schedule and the Payment authority are the whole agreement about these phones and services. Nothing said or written before signing forms part of it. A change must be in writing and signed by both of us, except a change this contract allows by notice or by written agreement.
We may assign or novate this contract to a related company, or to anyone who takes over our business or the part of it this contract relates to, by notice to you, and you agree in advance to any such novation. The new party collects under a direct debit request you complete for it when we ask. You may not assign or transfer this contract without our written consent.
If you sign as trustee, you are bound personally and as trustee. Tell us in writing at least 10 business days before you change your name, ABN or ACN.
You must keep the terms and prices of this contract confidential, except for disclosure to your advisers or where the law requires it.
You must pay every amount in full, without set-off or deduction, and disputing an amount does not delay when it must be paid. We may set off any amount you owe us against any amount we owe you. We may apply a payment you make to any amount you owe. If a payment comes with a condition, such as full and final settlement, we accept it on account only and without that condition.
Work outside this contract is quoted, and paid before it starts. Our standard rates are the rates we quote when the work is booked.
An amount we debit in error is not overdue, does not count as a failed payment and does not count towards ending this contract. We pay it back within 5 business days of it being brought to our attention.
We do not waive a right by not using it, or by delaying in using it.
If any part of this contract is unenforceable, it is read down or severed, and the rest continues.
No rule of interpretation applies against us because we prepared this contract.
A business day is a day other than a Saturday, Sunday or public holiday in Melbourne.
While this contract runs and for 6 months after it ends, you must not employ, engage or solicit anyone who has worked on your account for us. To the extent the law allows, if you do, you must pay us $15,000 for each person. That amount is a genuine pre-estimate of our cost of recruiting and training a replacement with the knowledge to run your systems.
This contract may be signed electronically and in counterparts.
This contract is governed by the law of Victoria, Australia. Either of us may start proceedings in the courts of Victoria, or in the courts of the state or territory where the other carries on business, and both of us submit to those courts.
Accepting online
When you accept this contract on our order page, the order you confirm there is the Order schedule: your business details, the phones and how many of each, whether you prepay the monthly fees, and the amounts paid on signing and each month. We email it to you with your order confirmation.
We set the visit address and monthly visit day with you, and confirm it to you by email before the phones are delivered.
Our email for notices is [email protected]. Yours is the email you give on the order page.
You authorise us to charge the card you give on our payment page, or, if you set up direct debit with us, to debit that account, for every amount payable under this contract when it falls due. While card is the method for any amount, you must keep a valid card with us. Card details are given through our payment page and are kept by our payment provider, not by us. Cancelling this authority does not end your obligation to pay.
A direct debit is set up through our payment provider. Its direct debit request and service agreement then apply, but nothing in them reduces what you owe.
Ticking “I accept” and paying on the order page is signing this contract electronically. The person who accepts it says they read this contract, had the chance to take legal advice, accepted it freely, and are authorised to accept it for the business. A person who accepts without authority is liable to us for every amount owing under this contract as if they were you.
